Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("Customer", "you") and Heady Digital Products, Inc. d/b/a Malible, Inc. ("Malible", "we", "us", or "our"). By signing up for or using the Service, or accessing the website, you agree to be bound by these Terms.

1. Scope & Acceptance

  • These Terms apply to your use of our website and the StoreAI SaaS platform (the "Service"), which is owned and operated by Malible.
  • If you purchase a subscription, you also agree to the terms in any Order Form, Addenda, or subscription agreement between you and Malible.

2. Subscription & Payment

  • Subscriptions to StoreAI are billed on a monthly or annual basis, depending on your plan. Payment is due in advance.
  • Fees are non-refundable except as required by applicable law or by explicit written agreement.
  • We may revise prices at renewal with advance notice.

3. Account Registration & Responsibilities

  • You are responsible for providing accurate account information and keeping it up to date.
  • You are responsible for maintaining the confidentiality of account credentials, security of your account, content, and for all activity under your account.

4. Use of the Service & Acceptable Use

  • You may use StoreAI only in compliance with these Terms and applicable laws.
  • You must not use the Service for prohibited purposes, including but not limited to infringement of IP rights, transmitting malicious software, violating export laws, or any illegal or harmful conduct.

5. Ownership & Customer Content

  • Ownership: You retain ownership of all content you upload (text, graphics, media) to StoreAI.
  • License to Operate: You grant Malible a non-exclusive, worldwide, royalty-free license to host, reproduce, display, distribute, and modify your Content as necessary to provide the Service.
  • Customer Content Backups: While we may maintain backups, you are responsible for maintaining your own backups of your content and data.

6. Termination & Suspension

  • We may suspend or terminate your access to StoreAI for breach of these Terms, non-payment, or misuse.
  • Upon termination, your access ends. We may retain or delete your Customer Content per our Data Retention Policy. Usually, we will retain data for 90 days to allow export.

7. Warranties & Disclaimers

  • We warrant that we will provide the Service in a professional manner consistent with industry standards.
  • Disclaimer: EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED "AS IS". MALIBLE DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED (INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT).

8. Limitation of Liability

  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MALIBLE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES.
  • MALIBLE'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES YOU PAID FOR STOREAI IN THE PRECEDING 12 MONTHS.

9. Privacy & Data Protection

  • Your data is handled according to our Privacy Policy, including applicable GDPR and CCPA/CPRA obligations.
  • If you are in the EU, you have rights under GDPR; if in California, under CCPA/CPRA.

10. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the state of Delaware, United States, unless your mandatory local laws dictate otherwise.
  • Any dispute arising out of or relating to these Terms shall be resolved via arbitration, unless required otherwise by law.

11. Changes to the Terms

  • We may modify these Terms occasionally. We'll notify you in advance of material changes (email or via the Service). Continued use after such changes confirms acceptance.

12. Miscellaneous

  • Severability: If any clause is invalid or unenforceable under applicable law, that clause shall be severed, and the rest shall remain in force.
  • Assignment: You may not assign your rights or obligations without our written consent; we may assign to affiliates or in connection with corporate transactions.
  • Notices: All notices to you will be via email or postings in the Service; notices to us via the address/email listed in Contact.
